Description of Service. The GetSetAuto Service is for commercial use by your business. You are responsible for any hardware, systems and/or software program(s) you use and any associated fees and expenses (a) to connect to, browse or otherwise use the Internet, and/or (b) to access the sites on which the Service is offered. The Service is not part of any other offering or product, and as such, the purchase or obtaining of any other product shall not be construed to represent or guarantee you access to the service.
Registration Data & Accounts. To use the Service you must register and provide certain information (e.g. a member (user) name, password, billing information, and valid email address) to GetSetAuto ("Registration Data") for the purposes of creating an Account, called "My Account." You agree to provide current, complete, and accurate Registration Data at the time you register and you will update your Registration Data as necessary to keep it current, complete and accurate. GetSetAuto may terminate your account and any or all rights to the Service if any information you provide is inaccurate, false, or incomplete. You agree that GetSetAuto may store and use the Registration Data you provide for use in billing fees to your credit card and maintaining your accounts.
Account and Password. As a registered user of the Service, you may receive or establish and account (“Account”). You are solely responsible for maintaining the confidentiality and security of your Account. You should not reveal your Account information to anyone else or use anyone else’s Account. You are entirely responsible for all activities that occur on or through your Account, and you agree to immediately notify GetSetAuto of any unauthorized use of your Account or any other breach of security. GetSetAuto will not be responsible for any losses arising out of the unauthorized use of your Account.
Security. You understand that the Service and products purchased through the Service are protected by Copyright law and limits your usage of Products to certain usage rules established by GetSetAuto (“Usage Rules”). Whether you employ our services or not, by using this website you agree to comply with such Usage Rules, as further outlined below, and you agree not to violate or attempt to violate any security components. You agree not to attempt to, or assist another person to, circumvent, reverse-engineer, decompile, disassemble, or otherwise tamper with any of the security components related to such Usage Rules for any reason whatsoever. Usage Rules may be controlled and monitored by GetSetAuto for compliance purposes, and GetSetAuto reserves the right to enforce the Usage Rules with or without notice to you. You will not access the Service by any means other than through the website that is provided by GetSetAuto for accessing the Service. You shall not access or attempt to access an Account that you are not authorized to access. You agree not to modify the website in any manner or form, for any purposes including obtaining unauthorized access to the Service. Violations of systems or network security may result in civil or criminal liability.

USE OF SERVICE, CONTENT, SOFTWARE, TRACKS, AND MATERIALS

Content. All software, artwork, graphics, video, text, interfaces, Trademarks, logos, images, photographs, and any other element of the GetSetAuto website (“Content”), including but not limited to the layout, election, organization, and coordination of such Content on the website is the property of or is licensed to GetSetAuto, and is protected by trademark, trade dress, copyright, and other intellectual property rights laws. Without the prior written consent of GetSetAuto, and except as provided in this Agreement, no Content may be transmitted/translated, publicly displayed, uploaded, published, rented, sold, distributed, digitized, marketed, reproduced, altered to make new works, or compiled in any way to any other computer, website, or other medium for any commercial purpose.
Content Usage Rules. GetSetAuto RESERVES THE RIGHT TO ENFORCE THE CONTENT USE RULES WITH OR WITHOUT NOTICE TO YOU. You may not attempt, nor support others' attempts, to decrypt, reverse engineer, circumvent or otherwise alter or interfere with any software required for use of the Service or any of the Usage Rules.
Submission of Ideas. There are opportunities within the Site for you to participate and make suggestions about how we can improve the Site and services. In the process of doing so, you may provide certain ideas, comments, data, or other information (“Suggestions”) to GetSetAuto. While GetSetAuto welcomes your ideas, is has the right to retain and use any such Information in current or future products or services, without further compensation to you. By posting or providing a Suggestion, you warrant and represent that you own or otherwise control all rights to it, including without limitation all the rights necessary for the submission of it to the Site. To the extent such Suggestions are protectable under intellectual property laws, you agree to cooperate with GetSetAuto as needed to obtain such protection as GetSetAuto may desire and you hereby assign your right to such Suggestion to GetSetAuto. Furthermore, GetSetAuto may share aggregate (not personally identifiable) Suggestions with its business partners or other third parties. GetSetAuto will not, however, knowingly disclose any personally identifiable Suggestions to third parties, except in accordance with its Privacy Policy.

CHARGES/BILLING

Agreement to Pay. You agree to pay for all Products that you purchase through the Service and GetSetAuto may charge your credit card for any Products purchased, and for any additional amounts (including any late fees, as applicable) as may be accrued by or in connection with your Account. You hereby agree to authorize GetSetAuto to charge your credit card for the above mentioned at GetSetAuto's convenience, but within (30) days of credit card authorization. YOU ARE RESPONSIBLE FOR PROVIDING GetSetAuto WITH A VALID CREDIT CARD OR OTHER VALID PAYMENT METHOD AND THE TIMELY PAYMENT OF ALL FEES. If any of your billing information changes, you are responsible for updating the information in the applicable section of your Member Account. You are responsible for any charges on your account that are incurred by any person through your account, and you are solely responsible for keeping your account secure and confidential.
Sales to End Users Only. GetSetAuto sells products to End User Dealerships only, not to any other businesses with an intent to resell.
GetSetAuto's Right of Refusal. GetSetAuto reserves the right to refuse Service or sale of Products for any reason, to any End User.
Right to Change Prices and Product Availability. Prices and Availability of Products offered through the Service are subject to change at any time.
No Refunds. All sales are final and all charges from those sales are nonrefundable.
Order Acceptance Policy. Your receipt of an electronic or other form of confirmation does not (1) constitute GetSetAuto's offer to sell and (2) convey GetSetAuto's acceptance of your order. GetSetAuto reserves the right, at its’ discretion, and without prior notice to you, and for any reason, to decline your request for Product(s), or supply less than the quantity you ordered following receipt of your order. Your order is deemed accepted upon delivery of Products (i.e. when your user account and user template have been setup). On occasion, technical problems may delay or prevent delivery of your Product. Your exclusive and sole remedy with respect to Product that is not delivered within a reasonable period will be either replacement of such Product, or refund of the purchase price paid for such Product, as determined by GetSetAuto.
Methods of Payment and Credit Card Terms. GetSetAuto does not currently accept any other form of payment besides checks, VISA, MasterCard, and PayPal. GetSetAuto reserves the right to change this policy at any time. You agree to pay all fees and charges associated with your purchase(s) at the rates in effect when the charges were incurred. You understand you will be billed for the Service every four (4) weeks. You, not GetSetAuto, are responsible for any unauthorized amounts billed to your credit card by a third party. As a cardholder, your card issuer agreement governs your use of the designated card, and as such, you must refer to that agreement, not this Agreement, to determine your rights and liabilities as a cardholder. Obligation to pay for Products previously accepted by GetSetAuto will survive your termination of the Terms and Conditions of Usage.
Electronic Signatures and Contracts. Your use of GetSetAuto's Service includes the ability to enter into agreements and/or to make purchases electronically. You agree that any submissions you make for electronic purchases constitute your intent and agreement to be bound by the terms of and to pay for such purchases. Your agreement and intent to be bound by electronic submissions applies to all records relating to all transactions you enter into on this site, including notices of cancellation, policies, contracts, and applications.

OTHER FEATURES AND TERMS & CONDITIONS

Privacy. For additional information regarding GetSetAuto's use of information collected in connection with the Service, please refer to GetSetAuto's Privacy Policy.
Copyrights. All copyrights in and to the Service (Including the compilation of content, postings, links to other Internet resources, and descriptions of those resources), and software, are owned by GetSetAuto and/or its licensors. THE USE OF THE SOFTWARE OR ANY PART OF THE SERVICE, EXCEPT FOR USE FO THE SERVICE AS PERMITTED IN THIS AGREEMENT, IS PROHIBITED AND SUBJECT TO CIVIL AND CRIMINAL PENALTIES, INCLUDING POSSIBLE MONETARY DAMANGES, FOR COPYRIGHT INFRINGEMENT.
Trademarks. All trademarks, service marks, trade names, slogans, logos, and other indicia of origin that appear on or in connection with the Service are the property of GetSetAuto and/or its affiliates, licensors and/or licensees. You may not copy, display or use any of these marks without prior written permission of the mark owner.
Violation of Intellectual Property Rights. If GetSetAuto receives a notice alleging that you have engaged in behavior that infringes GetSetAuto's or other's intellectual property rights or reasonably suspects the same, GetSetAuto may suspend or terminate your account without notice to you, and shall have no liabilities to you, past or present, for suspension or termination under this paragraph.
Enforcement of These Terms. GetSetAuto reserves the right to enlist and take measures that GetSetAuto believes are reasonably necessary to enforce, or appropriate to enforce, or verify compliance with any part of this Agreement (including but not limited to GetSetAuto's right to cooperate with any legal process relating to your use of the Service and/or Products, and/or a third party claim that your use of the Service and/or Products is unlawful and/or infringes such third party's rights). You agree that GetSetAuto has the right, without liability or notice to you, to disclose any Registration Data/Account information to law enforcement authorities, government official, and/or third party, as GetSetAuto believes is reasonably necessary or appropriate to enforce and/or verify compliance with any part of this Agreement (including but not limited to GetSetAuto's right to cooperate with any legal process relating to your use of the Service and/or Products, and/or a third party claim that your use of the Service and /or Products is unlawful and/or infringes such third party's rights).
No Responsibility for Third-Party Materials or Web Sites. GetSetAuto does not warrant or endorse and does not assume and will not be liable or responsible for any third-party materials or websites, or for any other materials, products or services of third parties.
Indemnity. By using this Service you agree to indemnify and hold harmless GetSetAuto and its agents, employees, directors, contractors, representatives, licensors, affiliates, parents and subsidiaries from and against any and all claims, losses, demand, causes of action and judgments (including attorneys' fees and court or arbitration costs) arising from or concerning your breach of this Agreement and your use of the Service, the Tracks, the Materials, and Content and to reimburse them on demand for any losses, costs or expenses they incur as a result thereof.
Termination.
1. If you fail, or GetSetAuto suspects that you have failed, to comply with any of the provision of this Agreement, including but not limited to failure to make payment of fees due, failure to provide GetSetAuto with a valid credit card or with accurate and complete Registration Data, failure to safeguard your Account information, or violation of the Usage Rules or any license to the software, GetSetAuto, at its sole discretion, without notice to you may: (i) terminate this Agreement and /or your Account, and you will remain liable for all amounts due under your Account up to and including the date of termination; and/or (ii) preclude access to the Service (or any part thereof).
2. GetSetAuto may, at its discretion, modify, suspend, or discontinue the Service (or any part or content thereof) at any time with or without notice to you, and GetSetAuto will not be liable to you or to any third party should it exercise such rights.
General Compliance with Laws. The Service at www.GetSetAuto.com is controlled and operated by ITGiver, Inc. from its offices in the United States. You agree to comply with all local, state, federal, and national laws, statutes, ordinances, and regulations that apply to your use of the Service.
Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of California, applicable to agreements made and to be performed wholly therein without regard to its conflicts of law rules. Your use of the Service may also be subject to other local, state, national, or international laws. Any cause of action or claim must be brought within one (1) year after the claim or cause of action arises or such claim or cause of action is barred. GetSetAuto’s failure to insist upon or enforce strict performance of any provision of this Agreement is not a waiver of any provision or right.
Arbitration. If a dispute arises out of, or relates to, this Agreement or the subject matter of this Agreement, either party may submit the dispute to a sole mediator selected by the parties or, at any time prior to selection of a sole mediator, to mediation by the American Arbitration Association ("AAA"). If not thus resolved, it shall be referred to a sole arbitrator selected by the parties or to the AAA for arbitration. The arbitration shall be governed by the United States Arbitration Act, shall be conducted in the County of Stanislaus, California, and judgment on the award may be entered by any court having jurisdiction. The arbitrator shall not limit, expand or modify the terms of the Agreement nor award damages in excess of compensatory damages, and each party waives any claim to excess damages. A request by a party to a court for interim protection shall not affect either party's obligation hereunder to mediate and arbitrate. Each party shall bear its own expenses and an equal share of all cost and fees of the mediation and/or arbitration. Any arbitrator selected shall be competent in the legal and technical aspects of the subject matter of this Agreement. The content and result of mediation and/or arbitration shall be held in confidence by all participants.
Disclaimers.
1. GetSetAuto does not guarantee, represent, or warrant that your use of the Service will be uninterrupted or error-free, or that any defects will be corrected, or that your use of the site will provide specific results. All information provided on the site is subject to change without notice. You agree that from time to time GetSetAuto may remove the Service for indefinite periods of time, or cancel the service at any time, with or without notice to you.
2. Under no circumstance shall any GetSetAuto entity be liable for any unauthorized use of the Service or its Content.
3. Under no circumstances shall any GetSetAuto entity, including but not limited to Directors, Officers, Employees, Affiliates, Agents, Contractors or Licensors be liable to you for any direct, indirect, incidental, punitive, special, or consequential damages (including damages for loss of business profits, business interruption, loss of business information, and the like) arising out of the use or inability to use the Products, Service, or Content, even if the GetSetAuto entity has been advised of the possibility of such damages. To the extent that in a particular circumstance any disclaimer or limitation on damages or liability set forth herein is prohibited by applicable law, then, instead of the provisions hereof in such particular circumstance, the GetSetAuto entities shall be entitled to the maximum disclaimers and/or limitation on damages and legality available at law or in equity by such applicable law in such particular circumstance, and in no event shall such damages be awarded.
4. You expressly agree that your use of, or inability to use, the Service is at your sole risk. The Service and all products and services delivered to you through the service are (except as expressly stated by GetSetAuto) provided "as is" and "as available" for your use, and to the maximum extent allowed by applicable law, the GetSetAuto entities expressly disclaim all warranties of any kind, either express or implied, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
5. GetSetAuto does not represent or guarantee that the service will be free from loss, corruption, attack, viruses, interference, hacking or other security intrusion, and GetSetAuto disclaims any liability relating thereto.
Changes. GetSetAuto reserves the right, at any time and from time to time, to update, revise, supplement, and otherwise modify this Agreement and to impose new or additional rules, policies, terms, or conditions on your use of the Service. Such updates, revisions, supplements, modifications, and additional rules, policies, terms, and conditions (“Additional Terms”) will be effective immediately and incorporated into this Agreement. Your continued use of the Service constitutes your acceptance of any and all such Additional Terms. All Additional Terms are hereby incorporated into this Agreement by this reference.
